Teacher agreement
Last updated:
This agreement sets out what you and Etases (اتأسس) can expect from each other when you teach on the platform - in person, online or live. It applies together with our Terms of Service, Privacy Policy, Refund Policy and Parental Consent Terms. If anything here conflicts with the Terms of Service on a teaching matter, this agreement applies.
Who this agreement is between
This agreement is between Vlancy LTD, a company registered in England and Wales under company number 13988779, with its registered office at Office 2851, 182-184 High Street North, East Ham, London E6 2JA, United Kingdom, email [email protected] (“Etases”, “we”), and you: an individual teacher, or a center or academy that uses Etases for its teachers.
You accept this agreement when you create a teacher, center or academy account, publish a course, or collect your first online payment through Etases. If you accept it for a center or academy, you confirm you are authorised to do so, and the center or academy makes sure every teacher and assistant it adds follows this agreement.
What Etases provides to teachers
Depending on your plan, Etases gives you tools to:
- Run in-person groups: schedules, QR attendance, grades, homework, exams, reports and the fees you collect yourself.
- Sell recorded courses online, with Etases collecting the payment and paying you your earnings.
- Teach live classes in the Etases classroom or through a meeting tool you link to a session.
- Keep parents informed with alerts about attendance, grades and payments.
- Present yourself on a public teacher page where students and parents can find, book and buy from you.
We develop the service continuously. We will tell you in advance about any change that materially reduces what your plan includes.
Your account and your team
Keep your account details accurate and your sign-in codes private. You are responsible for activity on your account.
You can invite assistants and choose what each one may see and do. You are responsible for your assistants’ actions on Etases, and for removing access as soon as someone stops working with you.
Your responsibilities as a teacher
You agree to:
- Give true information about yourself, your qualifications, your subjects and your prices.
- Teach and publish only content that is lawful, accurate to its description and suitable for the age of your students.
- Deliver the classes and courses you sell as described, and tell students in good time about cancellations or changes.
- Treat students, parents and staff with respect, and never harass, threaten, discriminate against or humiliate anyone.
- Not ask students or parents to pay outside Etases for a course or class that is sold through Etases.
Keeping students safe
Many students are under 18. When you teach them:
- Keep communication about learning, and use Etases or channels the parent knows about. Do not contact a minor privately about matters unrelated to teaching.
- Never ask a student for personal photos, private meetings, or personal information you do not need for teaching.
- In live classes, behave and dress as you would in a classroom, and keep sessions open to the class unless the parent has agreed otherwise.
- Tell us at [email protected] straight away if you become aware of a risk to a student’s safety on or through Etases.
We may suspend an account immediately while we look into a safeguarding concern.
Your content and the licence you give us
You own the lessons, videos, materials and exams you create. You confirm you have the rights to everything you upload and that it does not infringe anyone else’s rights.
You give Etases a non-exclusive, worldwide, royalty-free licence to host, store, stream, protect, convert and display your content to the people you choose, to show previews you enable, and to use your name, photo and course titles to present your public page and your courses on Etases and in our own marketing of the platform. The licence lasts while the content is on Etases and for any access period explained below.
You can unpublish or delete your content at any time. Students who already bought a course keep access for the access period stated at the time of purchase, unless the content must be removed for legal reasons.
Protecting your courses
We use reasonable measures to protect paid content, such as streaming without download, a watermark with the viewer’s details, and limits on the number of devices per account.
No system can fully prevent copying, so we cannot guarantee that content will never be shared illegally. To the maximum extent permitted by applicable law, Etases is not liable for unauthorised copying, recording, sharing, leaking or theft of your content by students or third parties, and you accept this risk when you publish. If you find your course shared without permission, tell us and we will help with takedown requests and may suspend the accounts involved.
Prohibited courses and content
You must not publish, sell, stream or share on Etases any course, lesson, material or message that:
- Breaks the law of the country where you teach or where your students live, or helps someone else break it.
- Infringes copyright or other rights, such as pirated books, leaked or copied courses, other teachers’ materials, or exam papers you have no right to share.
- Leaks, sells or promises exam questions or answers, or helps students cheat in school, university or official exams.
- Is sexual, violent or hateful, or discriminates against or insults any religion, group or person.
- Is not suitable for the age of the students it is offered to.
- Promotes political or religious extremism, terrorism, drugs, weapons, gambling or any other illegal activity.
- Makes false or misleading claims, such as guaranteed grades or results, fake qualifications or fake reviews.
- Contains malware, links to harmful sites, or advertising for services unrelated to your teaching.
- Shares personal data, photos or recordings of students or anyone else without permission.
- Is not educational, or does not match its title, description or price.
The full list of prohibited content and conduct is in our Acceptable Use and Prohibited Content Policy, which forms part of this agreement.
Centers and academies must make sure every teacher and assistant they add follows these rules.
Your responsibility for your content and teaching (legal disclaimer)
Etases is a technology platform. It provides the tools that teachers, centers and academies use to teach, sell courses and manage their students. Etases does not create, review in advance or endorse the courses, lessons, materials, exams or live classes published on it. It is not the teacher, not the employer of any teacher, and not a party to the teaching relationship between you and your students.
You - the teacher, center or academy that publishes or offers the content - are solely responsible for: the accuracy, quality, legality and suitability of your content; your qualifications and any licence or permit your teaching or your center requires; the classes you deliver, online or in person, and what happens in them; and any promise you make to students and parents about results, schedules or prices.
In-person classes and centers are run by you, not by Etases. Etases is not responsible for your premises, your staff, or the safety of students at your center or classes.
To the extent the law allows, Etases is not liable for any claim, loss or damage arising from the content, teaching or conduct of teachers, centers or academies. If a student, parent, authority or anyone else makes a claim against Etases because of your content, your teaching or your breach of this agreement, you agree to defend Etases and to cover the resulting losses, fines, damages and reasonable legal costs.
Nothing in this section limits liability that cannot be limited under the law that applies, such as liability for our own fraud or gross negligence.
Our right to suspend, remove or delete courses
We may review any course or content on Etases. We may hide, suspend, remove or permanently delete any course, lesson, material, live class, review or account - without notice where needed - if we reasonably believe it:
- Breaks this agreement, including the prohibited content rules above.
- Breaks the law or someone else’s rights, or is the subject of a valid complaint or legal notice.
- Puts students’ safety at risk.
- Causes repeated complaints, refund requests or payment disputes.
- Must be removed because a court, an authority or a payment provider requires it.
Where it is safe and lawful, we will tell you which content was affected and why, and give you a chance to fix it or respond. If you think we made a mistake, write to [email protected] and we will review our decision.
If a paid course is removed because of your breach, students may be refunded under our Refund Policy, and the refunded amounts are deducted from your Etases balance. We may also hold the earnings related to that content while we look into it.
We are not responsible for any loss of earnings, students or reputation caused by removing content in line with this section. Keep your own copies of your content: deleted content may not be recoverable.
Fees you collect yourself
Money you collect directly from students for in-person classes - in cash or any other way outside Etases - belongs to you in full. Etases takes no share of it and does not hold it.
Etases only helps you record these payments and send receipts and reminders. You are responsible for your prices, receipts, refunds of these fees and any taxes due on them.
Online sales and your earnings
When a student or parent buys your course or class through Etases, Etases collects the payment as the platform, through licensed payment providers.
From each sale we deduct the platform fee shown in your dashboard and plan at the time of the sale, and any payment-processing cost if your plan says so. The rest is credited to your Etases balance, and each sale appears in your statement.
Earnings become available to withdraw after the hold period shown in your dashboard, which covers the refund window in our Refund Policy. If a sale is refunded, its amount is removed from your balance, and you are told why.
You can withdraw your available balance to the payout method you verified in your account. We may pause a payout while we check suspected fraud, a payment dispute or a serious breach of this agreement, and we will tell you when we do.
You are responsible for declaring your income and paying the taxes due on it, except for any amount the law requires us to withhold, which we will show on your statement.
Your plan
Your subscription is billed as described in the Terms of Service and your plan, mainly by the number of active students. If you pass your plan’s limit, the service continues and extra students are billed as your plan shows.
We never lock you out of your existing students’ records because of a late payment. After a grace period, an account may become read-only until the payment is made.
Student and parent data
You decide what you record about your students for teaching. We process those records on your behalf to provide the service, as our Privacy Policy explains.
You add students under 18 only with the knowledge and consent of their parent or guardian, as set out in our Parental Consent Terms. A verified parent can always see their own child’s records.
Use student and parent data only to teach and to manage your classes. Do not sell it, share it with others, or export it for purposes unrelated to your teaching, such as unrelated advertising.
Your public page and reviews
Only students and parents who actually learned with you can leave a review. Do not write, buy or ask for fake reviews, and do not offer rewards in exchange for positive ones.
You may reply to reviews politely. We may remove reviews or replies that are fake, abusive or break the law, and we may moderate what appears on public pages.
Suspension and leaving Etases
You can stop using Etases at any time and export your data before you leave.
We may suspend or close your account for a serious or repeated breach of this agreement, fraud, a risk to students’ safety, or when the law requires it. Where it is safe and lawful, we will warn you first and give you time to put things right and export your data.
When an account closes, available earnings are paid to your verified payout method after the hold period, minus any refunds or amounts owed. Students who bought your courses keep access for their access period unless the content must be removed for legal or safety reasons.
Liability
We provide Etases with reasonable care and skill. To the extent the law allows, we are not liable for indirect losses such as lost profits, and our total liability for any claim is limited to the fees you paid us in the 12 months before the claim, plus any earnings we owe you.
You are responsible for the content you publish and the way you teach. You agree to cover our reasonable losses where a claim against us is caused by your content, your conduct or a breach of this agreement. Nothing in this agreement limits liability that cannot be limited under the law that applies.
Changes, governing law and disputes
We may update this agreement. We will notify you of important changes at least 14 days before they take effect. If you do not agree, you can stop using Etases before that date; continuing to use it means you accept the update.
This agreement is governed by the laws of England and Wales. We will first try to resolve any disagreement with you directly and in good faith; if that fails, disputes fall under the jurisdiction of the courts of England and Wales, without affecting any protection that the mandatory laws of your country give you.
